• The content does not violate any law, regulation or these Terms
• It does not contain viruses, malware, trojans or malicious code
• It does not contain defamatory, obscene, pornographic, violent, threatening, harassing or discriminatory material
• It does not include URLs, links or references to external websites without express authorisation

2.3 Absolute Prohibition on URLs and Links

IT IS STRICTLY PROHIBITED TO INCLUDE URLS, LINKS, REFERENCES TO WEBSITES OR ANY TYPE OF WEB ADDRESS IN THE CONTENT YOU POST. Violation of this policy will result in:

• Automatic and immediate denial of your request or content
• Temporary or permanent suspension of your account without prior notice
• Permanent ban from accessing the Service
• Possible legal action if applicable

2.4 Prohibited Conduct

3. Limitation of VGLoot's Liability

3.1 No Liability for User Content

VGLOOT IS NOT RESPONSIBLE, UNDER ANY CIRCUMSTANCES, FOR:

• Any content posted, uploaded or shared by users
• The truthfulness, accuracy, legality or quality of any user content
• Intellectual property rights violations committed by users
• Damages, losses or harm caused by third-party content
• Interactions, disputes or conflicts between users
• Erroneous, inaccurate or outdated information provided by users
• Improper or illegal use of the Service by third parties

3.2 Security and Data Protection

While VGLoot implements reasonable security measures to protect your data, WE CANNOT GUARANTEE ABSOLUTE SECURITY and are not responsible for:

• Security breaches, cyberattacks or hacks
• Leaks or exposure of personal data
• Unauthorised access to user accounts
• Loss, corruption or destruction of data
• Interception of communications or transmissions
• Viruses, malware, ransomware or other malicious code
• DDoS attacks, service outages or unavailability

YOU ACKNOWLEDGE AND AGREE THAT:

• The Internet is not a 100% secure environment
• No security system is infallible
• Transmitting data over the Internet carries inherent risks
• You use the Service at your own risk and responsibility
• It is your responsibility to implement additional security measures
• You must keep your access credentials secure

3.3 Service "AS IS" and "AS AVAILABLE"

VGLoot expressly disclaims all warranties, including but not limited to:

VGLoot does NOT guarantee that:

• Errors or defects will be corrected
• The Service will be free from viruses or harmful components
• Results from using the Service will be accurate or reliable
• The Service will meet your expectations or requirements

We reserve the right to:

• Modify, suspend or discontinue the Service at any time without prior notice
• Perform scheduled or emergency maintenance without notification
• Change, remove or modify any feature or functionality
• Impose limits on usage, storage or features

3.5 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VGLOOT, ITS OWNERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DAMAGES, INCLUDING:

• Direct, indirect, incidental or consequential damages
• Special, exemplary or punitive damages
• Loss of profits, revenue or savings
• Loss of data, information or content
• Loss of use, business opportunities or goodwill
• Reputational or image damage
• Cost of obtaining substitute services
• Intangible losses of any nature

This limitation of liability applies regardless of:

• The legal theory (contract, tort, negligence, strict liability, etc.)
• Whether VGLoot was advised of the possibility of such damages
• Whether other remedies fail of their essential purpose

3.6 Aggregate Liability, Affiliates, Referrals and Donations

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VGLOOT'S TOTAL AGGREGATE LIABILITY TO THE USER FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE — REGARDLESS OF THE LEGAL THEORY INVOKED (CONTRACT, TORT, QUASI-CONTRACT OR OTHERWISE) AND REGARDLESS OF VGLOOT'S REVENUE MODEL AT ANY GIVEN TIME (FREE SERVICE, PAID SERVICE, SUBSCRIPTION, REFERRALS, DONATIONS OR ANY OTHER) — SHALL BE ZERO EUROS (€0.00).

The User expressly acknowledges and agrees that this limitation is an essential and inducing element of the agreement between the parties, without which VGLoot would not have provided access to the Service under any modality. This limitation does not affect liability that cannot be excluded by mandatory law, including liability arising from wilful misconduct under Article 1.102 of the Spanish Civil Code.

Affiliates and Referrals

VGLoot may include within the Service links to third-party stores, platforms or services through affiliate or referral programmes, and may receive a commission for transactions completed through such links. That commission does not alter the nature of the Service, nor does it make VGLoot a seller, agent, distributor or guarantor of the third party. In particular, VGLoot assumes no responsibility for:

• The price, availability, quality, legality or suitability of the third party's products or services
• The execution, cancellation, delay, fraud or any incident arising from a transaction with the third party
• Economic losses, loss of profit or consequential damage arising from such a transaction
• Changes to the third party's terms, prices or policies after the link was published

The decision to follow an external link and conduct any transaction with a third party rests solely with the User. Such transactions are governed entirely by the third party's own terms and conditions, and the third party alone is responsible to the User. VGLoot recommends that Users read those terms before making any purchase.

Donations

VGLoot may accept voluntary financial contributions ("donations") from Users in support of the maintenance and development of the Service. Donations are strictly voluntary, non-refundable, and confer no consideration, right, feature, preferential access, account tier or other benefit, unless VGLoot expressly states otherwise at the time of the donation. VGLoot assumes no liability arising from the acceptance of donations, including liability for the future availability of the Service or for the use VGLoot makes of the funds received.

3.7 Jurisdictional Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

4. Intellectual Property Rights

4.1 Ownership of the Service

VGLoot claims ownership only over original elements of the Service: proprietary source code, interface design, logos and text written by VGLoot.

Video game covers, platform images, franchise names, trademarks and any other third-party content are the exclusive property of their respective owners. VGLoot makes no claim over such content; its presence in the Service is for informational and referential purposes only.

4.2 Limited Licence of Use

VGLoot grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to:

• Access and use the Service for personal, non-commercial use
• View content available on the Service

This licence does NOT include the right to:

• Reproduce, copy, download or distribute content from the Service
• Modify, create derivative works or reverse engineer
• Use the Service for commercial or advertising purposes
• Remove watermarks, copyright notices or trademarks
• Use data mining, robots or automated extraction methods
• Frame, mirror or deep-link to the Service without permission

4.3 Licence over User Content

By posting content on the Service, you grant VGLoot a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable and royalty-free licence to:

• Use, reproduce, modify, adapt and publish your content
• Translate, create derivative works and distribute your content
• Publicly display and communicate your content
• Incorporate your content into other works in any format or medium
• Grant sublicences of these rights to third parties

This licence is with or without attribution, for any purpose (commercial, promotional, operational, etc.) and without compensation to you.

4.4 Moderation Rights

VGLoot reserves the absolute and discretionary right to:

• Review, approve, reject, modify or remove any content
• Suspend or terminate accounts that violate these Terms
• Investigate violations and cooperate with authorities
• Preserve content for legal compliance

5. User Indemnification

YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS VGLOOT, ITS OWNERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, AFFILIATES, SUBSIDIARIES, LICENSORS AND CONTRACTORS FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, LIABILITIES, DAMAGES, LOSSES, COSTS, EXPENSES AND FEES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR RELATED TO:

• Your use or misuse of the Service
• Your violation of these Terms
• Your content or any information you provide
• Your violation of third-party rights, including intellectual property, privacy or publicity rights
• Your violation of any law, regulation or statute
• Any false or misleading representation you make
• Your conduct or actions on or through the Service
• Unauthorised access resulting from your failure to protect your credentials

This indemnification obligation survives termination of these Terms and your use of the Service.

We reserve the right to assume exclusive defence and control of any matter subject to indemnification by you, in which case you will fully cooperate with us in the defence of such claim.

6. Privacy and Data Protection

The processing of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

By using the Service, you acknowledge and agree that:

• You have read and understood our Privacy Policy
• You consent to the processing of your data as described in the Privacy Policy
• You understand the inherent risks of transmitting information over the Internet
• VGLoot implements reasonable security measures but cannot guarantee absolute security
• It is your responsibility to keep your access credentials secure
• VGLoot is not responsible for unauthorised access resulting from your negligence

7. Termination and Suspension

We reserve the right to suspend, deactivate or terminate your account and access to the Service immediately, without prior notice and at our sole discretion, for any reason or no reason, including but not limited to:

• Violation of these Terms or any applicable policy
• Suspicion of fraudulent, illegal or unauthorised activity
• Request from governmental or law enforcement authorities
• Discontinuation or modification of the Service
• Technical or security issues
• Abusive, harassing or inappropriate behaviour
• Use of multiple accounts or circumvention of restrictions
• Any other reason we determine at our discretion

You may also terminate your account at any time by contacting us or through the options available in your profile.

Effects of Termination:

• Immediate cessation of all rights of access to and use of the Service
• Deletion of your account and associated data without any obligation to preserve it
• Permanent loss of all content, data and progress
• No right to refund, compensation or indemnification
• Survival of clauses that by their nature must continue (indemnification, liability limitations, etc.)

8. Governing Law and Jurisdiction

8.1 Governing Law

These Terms shall be governed, interpreted and enforced in accordance with the laws of Spain, without regard to its conflict of law provisions.

8.2 Jurisdiction and Arbitration

Any dispute, controversy or claim arising out of or in connection with these Terms or the use of the Service shall be resolved through binding arbitration in accordance with the Arbitration Rules of the Madrid Court of Arbitration.

• Number of arbitrators: One (1)
• Confidential procedure
• Arbitral award final and binding
• No right of appeal except in extreme cases permitted by law

8.3 Class Action Waiver

ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, REPRESENTATIVE OR CONSOLIDATED ACTION.

You expressly waive your right to:

• Participate in class actions
• Be part of consolidated proceedings
• Act as a class representative
• Benefit from proceedings where others act as representatives

8.4 Injunctive Relief

Notwithstanding the foregoing, VGLoot retains the right to seek injunctive relief, judicial orders or any other equitable remedy before competent courts to protect its intellectual property rights or prevent unauthorised use of the Service.

9. General Provisions

9.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies published on the Service, constitute the entire and exclusive agreement between you and VGLoot with respect to the Service and supersede all prior or contemporaneous agreements, communications, proposals and understandings, whether oral or written.

9.2 Severability

If any provision of these Terms is found to be illegal, void or unenforceable by a competent court, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions, which shall remain in full force and effect.

9.3 Waiver

VGLoot's failure or delay in exercising any right or remedy under these Terms shall not constitute a waiver of such right or remedy. No waiver shall be effective unless made in writing and signed by VGLoot.

9.4 Assignment

You may not assign, transfer, sublicense or delegate these Terms or your rights or obligations without our prior written consent. Any attempted unauthorised assignment shall be void. VGLoot may assign these Terms freely without restriction and without prior notice.

9.5 Force Majeure

VGLoot shall not be liable for any failure or delay in performing obligations resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, wars, terrorism, civil unrest, pandemics, epidemics, quarantines, strikes, Internet failures, power outages, cyberattacks, governmental acts, or any other force majeure event.

9.6 No Employment Relationship

Nothing in these Terms creates a partnership, agency, joint venture, employment or franchise relationship between you and VGLoot.

9.7 Notices

All notices under these Terms shall be in writing and shall be deemed duly delivered when sent by email to the address provided during registration or when posted on the Service. It is your responsibility to keep your contact information up to date.

9.8 Language

These Terms are drafted in Spanish. Any translation is provided for convenience only. In the event of a conflict between the Spanish version and any translation, the Spanish version shall prevail.

9.9 Survival

Provisions that by their nature should survive termination of these Terms (including, without limitation, limitations of liability, indemnification, intellectual property, dispute resolution and governing law) shall continue in force after such termination.
